By accessing or using Maverick Dine's restaurant management software and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms apply to all users of the Services, including restaurant owners, managers, staff, and any other individuals who access or use the Services on behalf of a business.

We may update these Terms from time to time. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

2. Description of Service

Maverick Dine provides cloud-based restaurant management software that includes, but is not limited to:

• Point of Sale (POS) system
• Kitchen Display System (KDS)
• Table and reservation management
• Inventory management
• Analytics and reporting
• Integration with third-party services
• AI-powered insights and recommendations

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. User Accounts

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

Certain aspects of the Services require payment of fees. By subscribing to a paid plan, you agree to the following:

Subscription Fees

• Fees are charged in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated
• Prices are subject to change with 30 days' notice

Payment Methods

• You must provide a valid payment method
• You authorize us to charge your payment method for all fees due
• If payment fails, we may suspend access to the Services

Taxes

All fees are exclusive of applicable taxes (GST, VAT, etc.). You are responsible for paying all taxes associated with your use of the Services.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit any malicious code or harmful content
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Reverse engineer or decompile any part of the Services
• Use the Services for any fraudulent or illegal activity
• Resell or redistribute the Services without authorization

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by Maverick Dine and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to these Terms.

You retain ownership of all data you input into the Services ("Your Data"). You grant us a license to use Your Data solely to provide and improve the Services.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including obtaining necessary consents from your customers.

8. Service Availability

We strive to maintain high availability of the Services, but we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or updates
• Circumstances beyond our reasonable control

Our offline mode feature helps ensure business continuity during network outages, but certain features may require an internet connection.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Maverick Dine, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Data or content you submit through the Services

11. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Request by law enforcement or government agencies
• Discontinuation of the Services

Upon termination, your right to use the Services will cease immediately. You may request export of Your Data within 30 days of termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us. If a dispute cannot be resolved informally within 30 days, either party may pursue formal legal action.

13. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Maverick Dine regarding the Services.
• Severability: If any provision of these Terms is found invalid, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
• Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control.
